Please read these Terms of Service ("Terms", "Agreement") carefully before using the MsjPay platform, website (msjpay.ng), APIs, and digital wallet services operated by MsjPay Technologies Limited ("MsjPay", "we", "us", "our").
By creating an account, depositing funds, using our checkout gateway, or accessing the website, you agree to be bound by these terms. If you disagree with any part of this agreement, you must immediately cease using all MsjPay services.
1. Acceptance of Terms & Eligibility
By registering for a MsjPay account, you represent and warrant that:
- You are at least 18 years of age.
- You possess the legal capacity to enter into a binding contractual agreement.
- You reside in the Federal Republic of Nigeria or operate a business legally registered with the Corporate Affairs Commission (CAC).
- Your use of MsjPay does not violate any applicable local, state, or federal laws of Nigeria.
2. User Account Responsibilities
To access our financial services, you must register a secure account.
Information Accuracy: You must provide accurate, current, and complete details during sign-up. You agree to update this information immediately upon change.
Know Your Customer (KYC): You authorize MsjPay to perform inquiries, including verifying your BVN, NIN, and corporate registrations, directly or through third-party databases.
Account Security: You are solely responsible for safeguarding your login credentials, passwords, and 2FA codes. MsjPay will not be held liable for any loss resulting from unauthorized access caused by your failure to protect your login tokens.
Notification: You must notify us immediately at abuse@msjpay.ng if you detect a security breach or unauthorized activity on your account.
3. Prohibited Activities
You agree not to use MsjPay for any illegal, unethical, or unauthorized activities. Prohibited behavior includes, but is not limited to:
- Financial Crime: Conducting money laundering, terror financing, or circumventing Central Bank of Nigeria foreign exchange restrictions.
- Fraud & Deception: Executing chargeback fraud, initiating unauthorized card transactions, or running deceptive schemes/Ponzi systems.
- System Abuse: Uploading malware, viruses, attempting to execute denial-of-service (DoS) attacks, scraping the site without permission, or reverse engineering our APIs.
- Intellectual Property Infringement: Replicating the MsjPay brand assets, trademarked logos, copy, or visual source code without written permission.
4. Limitation of Liability
To the maximum extent permitted by applicable Nigerian laws:
MsjPay provides its services on an "as is" and "as available" basis without any express or implied warranties, including but not limited to merchantability or fitness for a particular purpose.
We do not guarantee that our platform will be uninterrupted, error-free, or completely secure during periods of scheduled maintenance or telecom network failures.
In no event shall MsjPay, its directors, employees, or partners be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill.
Our total liability to you for all claims arising out of this agreement shall not exceed the total transaction fees paid by you to MsjPay in the three (3) months preceding the event giving rise to liability.
5. Governing Law and Dispute Resolution
Governing Law: These Terms of Service shall be governed by, and construed in accordance with, the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
Amicable Settlement: In the event of a dispute, controversy, or claim arising out of these terms, the parties shall first attempt to resolve the issue amicably through good-faith consultations.
Arbitration: If amicable resolution is not reached within thirty (30) days, the dispute shall be referred to and resolved by binding arbitration under the Arbitration and Mediation Act of Nigeria. The venue of the arbitration shall be Lagos, Nigeria, and the proceedings shall be conducted in English.
